These Terms of Service govern your access to and use of kizergrid.ai and any content, tools, newsletters and features offered on it (together, the “Site”). The Site is operated by KizerAI, LLC (“KizerAI”, “we”, “us”).

By accessing or using the Site you agree to these terms. If you do not agree to them, please do not use the Site.

You must be at least 18 years old, and able to enter into a binding contract, to use the Site or subscribe to KizerAI News.

The Site is an informational and promotional resource about KizerAI and its land, energy and data center infrastructure activities. It is made available for general informational purposes only.

Nothing on the Site constitutes an offer to sell, or a solicitation of an offer to buy, any security or investment interest, and nothing on the Site should be relied upon as investment, legal, tax, engineering, environmental, real estate, financial or other professional advice. Any securities offering, if pursued, will be made only through definitive offering documents and in compliance with applicable law.

The Site contains forward-looking statements. Those statements, and the important disclosures that accompany them, appear in the footer of every page and form part of these terms.

The Site includes maps, parcel information, infrastructure and flood screens, scenario views and cost or capacity estimates relating to land and energy infrastructure. This material is preliminary, illustrative and provided for general orientation only.

It is derived in part from public and third-party sources, including federal, state, county and utility records. We do not independently verify those sources and we do not warrant that any of it is accurate, current, complete or fit for any purpose. Parcel boundaries, ownership, acreage, zoning, flood designations, water availability, power capacity, interconnection prospects, routing distances and cost figures shown on the Site are estimates or screens, not survey, title, engineering, appraisal or utility determinations.

Nothing shown on the Site represents contracted power, completed interconnection, committed financing, regulatory approval, secured land rights or a guarantee of any future outcome. Do not rely on it for any acquisition, financing, siting, permitting, development or other decision. Confirm anything that matters with the relevant authority and with your own qualified advisors.

Parts of the Site use automated systems, including AI‑assisted tools that answer questions and generate summaries and estimates about land and infrastructure.

Output from these tools is generated automatically, may be incomplete, out of date or wrong, and is not reviewed by a person before you see it. It is not advice of any kind and creates no professional or advisory relationship. Treat it as a starting point for your own diligence and nothing more.

Some Site content is drafted with AI assistance. We aim for accuracy but do not warrant that any content is free of error.

If you subscribe to KizerAI News you are asking us to send you email about KizerAI and the infrastructure topics we cover. You confirm that the email address you provide is yours or that you are authorised to use it.

You can unsubscribe at any time using the link in any marketing email, and we will act on that request. You may also update the profile information you have given us, or ask us to delete it, by contacting us at the address below.

Profile answers you provide are voluntary. How we handle subscriber information is described in our Privacy Policy.

You agree not to:

• use the Site for any unlawful purpose, or in breach of any applicable law or regulation;
• scrape, harvest, crawl or systematically extract data or content from the Site, or use automated means to access it, except for search engine indexing consistent with our robots file;
• copy, republish, resell or redistribute Site content, including land data and screening output, as your own or as part of a competing product or dataset;
• probe, scan, overload, disrupt or attempt to gain unauthorised access to the Site, its infrastructure or any account or data on it;
• submit false, misleading or third-party personal information, or subscribe an email address you do not control;
• reverse engineer or attempt to derive the underlying models, prompts, data or source of any tool on the Site;
• use any tool on the Site to generate unlawful, infringing, deceptive or abusive material.

The Site and its content, including text, articles, graphics, data compilations, maps, layouts, design and software, are owned by KizerAI or its licensors and are protected by intellectual property laws. The KizerAI name, logo and brand are our trademarks and may not be used without our prior written permission.

You may view the Site and share links to it, and you may reproduce short extracts of our published articles with clear attribution and a link to the original. All other use requires our prior written consent.

If you believe content on the Site infringes your rights, contact us at media@kizergrid.ai with enough detail to identify the material and your claim.

If you send us ideas, suggestions or feedback about the Site, you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide licence to use them without restriction or obligation to you. Please do not send us confidential information through the Site.

The Site links to third-party websites, data sources and services that we do not control. We provide those links for convenience only. We are not responsible for their content, accuracy, availability, practices or terms, and including a link is not an endorsement.

We may change, suspend, restrict or discontinue the Site or any part of it at any time, with or without notice. We do not promise that the Site will be uninterrupted, timely, secure or error free, and we may remove or correct content at any time.

We may suspend or terminate your access to the Site, including your newsletter subscription, if we reasonably believe you have breached these terms or created risk or legal exposure for us.

To the fullest extent permitted by law, the Site and all content, data, estimates, screens and tools on it are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied or statutory. We expressly disclaim the implied warranties of merchantability, fitness for a particular purpose, non‑infringement, accuracy and quiet enjoyment.

Some jurisdictions do not allow the exclusion of certain warranties, so parts of this section may not apply to you.

To the fullest extent permitted by law, KizerAI and its members, managers, officers, employees, agents and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, business opportunity, land or development opportunity, goodwill or data, arising out of or relating to your use of, or inability to use, the Site, whether based on contract, tort, statute or any other theory, and whether or not we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability arising out of or relating to the Site will not exceed one hundred United States dollars (US$100).

Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you.

You agree to indemnify and hold harmless KizerAI and its members, managers, officers, employees, agents and affiliates from any claim, demand, loss, liability, cost or expense, including reasonable legal fees, arising out of your use of the Site, your breach of these terms, or your violation of any law or the rights of any third party.

These terms, and any dispute arising out of or relating to them or to the Site, are governed by the laws of the State of Delaware, without regard to its conflict of laws rules.

You agree that the state and federal courts located in the State of Delaware have exclusive jurisdiction over any such dispute, and you consent to personal jurisdiction and venue there.

We may update these terms from time to time. When we do, we will revise the date at the top of this page. Changes take effect when posted, and your continued use of the Site after that means you accept them. If you do not agree to a change, stop using the Site.

If any provision of these terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary and the rest will remain in force. Our failure to enforce any provision is not a waiver of it. You may not assign these terms without our written consent; we may assign them in connection with a merger, financing, reorganisation or sale of assets.

These terms, together with the Privacy Policy and the forward-looking statements and important disclosures published on the Site, are the entire agreement between you and KizerAI regarding the Site.
